1. General
By purchasing any product from General Oil Equipment or Amherst Stainless Fabrication (“Seller”), the purchaser
(“Buyer”) agrees to the following terms and conditions. These terms apply to all sales, transactions, and shipments
unless otherwise agreed to in writing by both parties.
2. Payment of Tariffs, Duties, and Taxes
2.1 The Buyer acknowledges and agrees that they are solely responsible for the payment of all applicable tariffs,
customs duties, import/export fees, and taxes (including but not limited to VAT, GST, sales tax, and excise tax) related
to the purchase, importation, and delivery of the goods.
2.2 The Seller is not responsible for any delays, penalties, or additional charges imposed by customs authorities due to
non-payment or underpayment of applicable tariffs, duties, or taxes by the Buyer.
2.3 If the Buyer fails to pay the required tariffs, duties, or taxes, and the shipment is delayed, returned, or confiscated by
customs authorities, the Seller shall not be liable for any loss, and any additional costs incurred shall be borne by the
Buyer.
3. Shipping and Freight Charges
3.1 Unless otherwise agreed upon in writing, the Buyer is responsible for all shipping and freight charges associated
with the purchase and delivery of goods.
3.2 The Seller shall not be responsible for any additional costs incurred due to shipping delays, carrier issues, or any
other transportation-related matters beyond the Seller’s control.
4. Customs Compliance
4.1 The Buyer is responsible for ensuring that the purchased goods comply with the import laws and regulations of the
destination country.
4.2 The Buyer shall provide all necessary documentation, permits, or certifications required for customs clearance and
shall not hold the Seller liable for any issues arising from non-compliance with such requirements.
5. Indemnification
The Buyer agrees to indemnify and hold harmless the Seller from and against any claims, liabilities, losses, or
expenses (including legal fees) arising from the Buyer’s failure to comply with these terms, including but not limited to
non-payment of tariffs, duties, taxes, or shipping and freight charges.
6. Governing Law and Dispute Resolution
These terms and conditions shall be governed by and construed in accordance with the laws of New York State, or
another venue at the discretion of General Oil Equipment or Amherst Stainless Fabrication. Any disputes arising out of
or in connection with these terms shall be resolved through arbitration or litigation in New York State or another venue
at the discretion of General Oil Equipment or Amherst Stainless Fabrication.
7. Amendments and Modifications
The Seller reserves the right to amend or modify these terms at any time without prior notice. It is the Buyer’s
responsibility to review the terms before making a purchase.
By completing a purchase, the Buyer acknowledges and agrees to these terms and conditions.
